# Website Purchase Agreement
### Monthly Plan — 12-payment plan

## 1. Parties

## 2. What this agreement is

**This is an agreement to buy a website, paid in instalments. It is not a subscription.**

Client pays a setup fee and twelve monthly payments. When the final payment is made, **Client owns the website outright** — the design, the code, the files — exactly as if Client had paid the full price in a single payment on day one.

There is no thirteenth payment and no ongoing obligation. Client is buying the site over a year instead of all at once.

Ongoing services — hosting and maintenance after Client owns the site — are **not** part of this agreement. They are optional, separate, and described in Section 10.

The equivalent one-time price is $1,500.00. The $400.00 difference is the cost of paying over time, and it is the entire difference between the two options.

## 3. Services

Under this agreement Designer will design, build, host, and maintain a custom website for Client. Included throughout the payment term:

- Custom website design — no templates
- Mobile-first development, optimized to load in under 1 second
- WCAG 2.1 AA accessibility, verified
- Hosting on Designer's managed Cloudflare infrastructure
- Unlimited content edits and updates
- Priority support by email
- Local SEO setup and Google Search Console configuration
- Software and security updates
- Spanish-language option on request

Designer will deliver an initial draft for review typically within **2–3 weeks** of receiving all required content from Client.

**Migration Special:** if Client is moving an existing website from WordPress, Wix, Shopify, Squarespace, or GoDaddy, the **$100.00 setup fee is waived**. The monthly payment is unchanged. Migration of existing content is included at no charge.

## 4. Term & payment schedule

This agreement begins on the date signed and runs for **twelve (12) monthly payments**.

- The setup fee is due before work begins
- The first monthly payment is due on {{FIRST_PAYMENT_DATE}}
- Each following payment is due on the same day of each month
- The website goes live only after the setup fee **and** the first monthly payment have cleared
- The agreement **ends when the twelfth payment is made** and ownership transfers under Section 9.3

This agreement does not renew and does not continue month-to-month. Section 10 describes what happens afterward.

### 4.1 The first three payments

**The first three monthly payments are not cancellable.** Together with the setup fee they come to **$550.00**, and they cover the design and build work, which Designer performs in full during the first few weeks.

If Client stops paying before the third payment has been made, the payments remaining up to the third become due. That is the **only** amount Client can ever owe beyond what has already been paid.

**From the fourth payment onward, Client may stop at any time and owe nothing further.**

### 4.2 Paying it off early

Client may pay more than $150.00 per month, or clear the entire remaining balance, at any time.

**The total never changes.** It is $1,900.00 whether it takes seven months or twelve. There is no penalty, no additional interest, and no fee for finishing early. Ownership transfers as soon as the total is paid.

For example: paying $200.00 per month clears the balance in nine payments instead of twelve, and Client owns the site that much sooner.

## 5. Payment methods & late payment

Payments are accepted by credit or debit card through a secure Stripe link, cash, or personal or business check made payable to **Jaime Aleman**.

Payments are due on the date scheduled. A payment **15 or more days overdue** accrues interest at **1.5% per month** (18% per year) on the outstanding balance, or the maximum rate permitted by Texas law, whichever is less.

While a payment is 15 or more days overdue, Designer may pause work until the balance is cleared. Pausing does not cancel this agreement or forfeit any payments already made.

### 5.1 Taking the website offline

Designer may take the website offline only if a payment is **30 or more days overdue**, and only after giving Client at least **7 days' written notice** by email first.

If that happens:

- The website returns a standard "temporarily unavailable" response. **It will not display any message about payment, and nothing about Client's account will be visible to the public**
- Client's domain and DNS are **not** touched. The domain remains Client's throughout
- The completed website is retained for **90 days**, so that clearing the balance restores it the same day. After 90 days Designer may delete the hosted copy; Client's own content is still returned on request under Section 6.3
- Bringing the site back online is free. There is no reconnection fee

## 6. If payments stop

### 6.1 Before the third payment

The payments remaining up to the third become due, as described in Section 4.1. Including the setup fee that is **$550.00 in total**, and it is the most Client can owe under any circumstances.

### 6.2 From the fourth payment onward

**Client owes nothing beyond the payments already made.**

- The remaining balance is **cancelled**. Client does not owe it
- There is **no early termination fee** and **no penalty**
- Payments already made are non-refundable — they covered work performed and hosting provided

### 6.3 In either case

- The website is taken offline under Section 5.1, because ownership has not yet transferred
- **Client's domain remains Client's.** Designer will release or transfer it promptly on written request
- **Client's own content remains Client's.** Designer will return the text, images, and logo Client supplied, on written request, at no charge
- Client may resume at any time by paying the remaining balance. Ownership transfers at that point and the website goes back online

If Designer ends this agreement for any reason other than Client's non-payment, Designer will refund payments made for work not performed and will transfer the website and files to Client at no charge.

## 7. Client responsibilities

Client agrees to:

- Provide all text, images, logo, and other content needed for the website within **10 business days** of signing. Late materials extend the delivery timeline day for day, with no penalty
- Provide accurate information about the business, its products, and its services
- Review and respond to each draft within **5 business days**. Silence beyond **14 calendar days** is treated as approval
- Send all change requests **by email to me@915website.com**. Text messages are welcome for scheduling and quick updates, but are not a tracked request channel

## 8. Edits & change orders

Unlimited edits are included throughout the payment term: content updates, text changes, new photos, and minor layout adjustments within the approved structure.

**Not** included under unlimited edits:

- A full redesign, or a new design direction after the design is approved
- Pages beyond the scope agreed at signing
- Custom web application features — forms with logic, databases, e-commerce, user logins
- Third-party integrations not agreed at signing

These are quoted in writing before any work begins. Additional pages matching the site's existing style are **$100.00 per page**. Genuinely custom work is **$50.00 per hour**, in 15-minute increments after the first hour.

Anything Designer estimates at **30 minutes or less is done at no charge** and needs no change order. Designer estimates each request as a whole, not item by item.

**Client will never receive an invoice for work Client did not approve in advance.**

## 9. Ownership & intellectual property

### 9.1 Client's domain — owned by Client at all times

Client owns Client's domain name at all times: before, during, and after this agreement, and regardless of payment status. **Designer will never hold a domain name as security for payment.** Designer will transfer or release it promptly on written request, at any point.

### 9.2 Client's content

Client retains ownership of all content Client provides — text, images, logo. Client grants Designer a license to use that content to build, host, and display the website.

### 9.3 Ownership transfers when the total is paid

**Upon Designer's receipt of the final payment — whether on schedule or paid off early — Designer assigns to Client all right, title, and interest in the finished website**, including the design, page templates, custom code, and any images or graphics Designer created for this project.

From that point Client owns the website outright:

- No ongoing license fee and no royalty
- No fee to move the site to another host or another developer
- No fee to obtain the files — delivered in a portable format within 5 business days of a written request
- Client may modify, rebuild, or replace the site freely, with or without Designer

### 9.4 Before the total is paid

Until the total is paid, Designer retains ownership of the website and hosts it on Designer's infrastructure. This is Designer's **only** security for payment. It does not affect Client's domain (9.1) or Client's own content (9.2), which remain Client's throughout.

### 9.5 Third-party components

Open-source frameworks, fonts, and stock imagery remain subject to their own licenses. Those pass through to Client; Designer neither owns nor assigns them.

### 9.6 Designer's general tools and know-how

Designer retains ownership of general skills, techniques, and reusable components developed before or independently of this project. Client receives a perpetual, worldwide, royalty-free license to use them as embedded in the finished website.

### 9.7 Portfolio rights

Designer may display the completed work as a portfolio sample — on 915website.com, in case studies, on social media, and in proposals — including screenshots, a link, and Client's business name. Client may withdraw this permission in writing at any time, and Designer will remove the work from public display within 10 business days.

## 10. After the final payment

This agreement ends when Client owns the website. What happens next is Client's choice, and **Client is never required to choose Designer.**

### 10.1 Taking the files and leaving

At any time after ownership transfers, Designer will deliver the complete website files in a portable format within 5 business days of a written request, at no charge. Client's domain is already Client's. Nothing further is owed by either party.

### 10.2 Hosting Only — what happens if Client does nothing

So that the website does not go offline the day this agreement ends, hosting continues automatically at **$25.00 per month**, beginning the month after the final payment.

Hosting Only means exactly that: the site stays online, fast and secure, on Cloudflare, with SSL and uptime monitoring. **It does not include edits, content changes, or support.**

Client may cancel Hosting Only at any time with written notice, effective at the end of the current month. Cancelling takes the website offline; the files remain Client's under 10.1.

**By signing this agreement Client authorises that $25.00 monthly charge to begin automatically.** If Client would rather it did not, Client can say so at any time before the final payment and the site will simply be handed over instead.

### 10.3 The Care Plan — a separate agreement

Ongoing maintenance — unlimited content updates, monitoring, security and dependency updates, priority support, and a monthly report — is available under the **Care Plan at $100.00 per month**.

The Care Plan is **a separate agreement** with its own terms, and is not part of this one. It replaces Hosting Only rather than adding to it. Nothing in this agreement obliges Client to take it.

### 10.4 Coming back after a gap

Returning to the Care Plan after more than **3 months** on Hosting Only requires a **site health check** — dependency updates, build verification, and integration checks — quoted in writing at $50.00 per hour before any work begins.

A health check restores the website on the platform it was **built** on. Rebuilding it on a newer platform is a separate project, quoted separately, and is never charged to Client unless Client asks for it.

## 11. Limitation of liability

Designer's total liability under this agreement is limited to the total amount Client has paid under it.

Designer is not liable for indirect, incidental, special, or consequential damages, including lost revenue, lost profits, or business interruption.

Designer is not responsible for outages of third-party services outside Designer's reasonable control, including hosting providers, DNS, domain registrars, email providers, and third-party APIs.

Client is responsible for the accuracy and legality of all content Client provides, and warrants that Client holds the rights necessary to use it.

## 12. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive business information the other shares during this engagement, and not to disclose it to third parties without written consent.

This does not apply to information that is publicly available, that a party already knew, or that a party develops independently. It does not restrict Designer's portfolio rights under Section 9.7.

## 13. Governing law & venue

This agreement is governed by the laws of the **State of Texas**, without regard to its conflict-of-laws rules. Venue for any dispute lies exclusively in **El Paso County, Texas**.

Before either party files suit, both agree to attempt resolution first through good-faith discussion, and then through mediation in El Paso County.

## 14. Entire agreement

This document is the complete agreement between the parties for this project and supersedes all prior proposals, discussions, and verbal agreements.

Amendments must be in writing and signed by both parties. Change orders approved by email under Section 8 are valid amendments without a separate signed document.

If any provision is found unenforceable, the remainder stays in effect. Electronic signatures, and scanned or PDF copies of signatures, have the same effect as originals.
