What this agreement is This agreement covers **ongoing care for a website Client already owns.** It is not a website build, and it does not affect ownership of anything. Client owned the website before signing this, and continues to own it during and after. Client may cancel at any time and keep everything. The Care Plan **replaces Hosting Only** rather than adding to it. What's included Every month, Client receives: - **Unlimited content updates** — text changes, new photos, hours, prices, staff, menu items, service listings - **Adding items to structures that already exist** — for example a new product in an existing product grid - **SEO hygiene** — page titles and meta descriptions, alt text, sitemap, Google Search Console monitoring, and fixing issues that surface there - **Performance monitoring** — site speed and Core Web Vitals - **Uptime monitoring** — Designer is alerted if the site goes down - **Security and dependency updates** — keeping the site's software current - **Hosting** — on Designer's managed Cloudflare infrastructure, included at no extra cost - **Priority support** — a response within 1 business day - **Monthly check-in report** — a brief summary of site status and changes made --- ## 4. What's not included The following are outside this plan and are quoted separately under Section 7: - **New pages** beyond the site's current page count — **$100.00 per page**, matching the site's existing style - A full redesign, or a new design direction - Custom web application features — booking systems, e-commerce, databases, user logins - Third-party integrations not already on the site - Content creation — copywriting, photography, videography, graphic design - Paid advertising, ad management, or SEO campaigns beyond the hygiene described in Section 3 - Migrating the site to a different platform or framework --- ## 5. Fees & payment | Fee | Amount | When due | |---|---|---| | Care Plan | **$100.00 per month** | The same day each month | Payments are accepted by credit or debit card through a secure Stripe link, cash, or personal or business check made payable to **Jaime Aleman**. Payments are due on the date scheduled. A payment **15 or more days overdue** accrues interest at **1.5% per month** (18% per year) on the outstanding balance, or the maximum rate permitted by Texas law, whichever is less. While a payment is 15 or more days overdue, Designer may pause Care Plan work until the balance is cleared. **The website stays online.** Client owns it, and it is not held as security for anything. --- ## 6. Term & cancellation This agreement runs **month to month with no minimum term.** Either party may cancel with written notice, effective at the end of the current billing month. There is **no early termination fee** and **no penalty**. **Cancelling does not take the website offline.** Because Client owns the site, cancelling the Care Plan simply returns Client to **Hosting Only at $25.00 per month**, which keeps the site online without ongoing work. If Client would rather leave entirely, Designer will deliver the complete website files in a portable format within 5 business days of a written request, at no charge. Client's domain is already Client's. --- ## 7. How to request work, and what costs extra ### 7.1 Email only **All requests must be sent by email to me@915website.com.** Email gives both parties a written record and keeps requests in one place. Text messages are welcome for scheduling and quick day-to-day updates. They are not a request channel — a request sent only by text may be missed, and is not tracked. ### 7.2 Small requests are always free **Any request Designer estimates at 30 minutes or less is done at no charge**, and needs no approval. Designer estimates each request as a whole, not item by item. A single email containing several small items is one request, estimated together. ### 7.3 Work beyond the plan For anything listed in Section 4, Designer sends a written estimate by email stating the work, the price, and the timeline **before starting**. - Additional pages matching the site's existing style — **$100.00 per page** - Genuinely custom work — **$50.00 per hour**, in 15-minute increments after the first hour **No such work begins, and nothing is billed for it, until Client approves by email. Client will never receive an invoice for work Client did not approve in advance.** --- ## 8. Hosting Hosting is included in the monthly fee, on Designer's managed Cloudflare infrastructure. Client owns the website files and may host them anywhere else at any time. Designer will provide them in a portable format within 5 business days of a written request, at no charge. **Client owns and controls their domain name at all times.** Designer will never hold a domain as security for payment and will transfer or release it promptly on written request. --- ## 9. Ownership **Client owns the website.** This agreement does not change that in any way. - Client owns the website files, the design, and the code - Client owns all content — text, images, logo - Client owns the domain name - Designer claims no ownership of any of it, during or after this agreement Designer retains ownership only of general skills, techniques, and reusable components developed before or independently of Client's project. Client holds a perpetual, worldwide, royalty-free license to use those as they are embedded in the website. **Portfolio:** Designer may display the website as a portfolio sample — on 915website.com, in case studies, on social media, and in proposals — including screenshots, a link, and Client's business name. Client may withdraw this permission in writing at any time, and Designer will remove the work from public display within 10 business days. --- ## 10. Pausing, and coming back later Client may drop to Hosting Only at any time under Section 6 and return to the Care Plan later. **Returning within 3 months:** Designer resumes and simply invoices the next monthly payment. Nothing else is required. **Returning after more than 3 months:** a **site health check** is required first — dependency updates, build verification, and integration checks — quoted in writing at **$50.00 per hour** before any work begins. This is not a penalty. A website left unmaintained accumulates work: software moves on, third-party services change, and integrations expire. **Staying on the Care Plan is cheaper than catching up.** Six months parked costs more to restart than six months maintained. A health check restores the website on the platform it was **built** on. Rebuilding it on a newer platform is a separate project, quoted separately, and is never charged to Client unless Client asks for it. --- ## 11. Client responsibilities Client agrees to: - Respond to Designer's questions or requests for information within **5 business days** - Provide accurate, complete information for any requested changes - Notify Designer promptly of anything that looks wrong on the site - Hold the rights to any content Client supplies, and be responsible for its accuracy and legality --- ## 12. Limitation of liability Designer's total liability under this agreement is limited to the amount Client paid in the prior 3 months of service. Designer is not liable for indirect, incidental, special, or consequential damages, including lost revenue, lost profits, or business interruption. Designer is not responsible for outages of third-party services outside Designer's reasonable control, including hosting providers, DNS, domain registrars, email providers, and third-party APIs. --- ## 13. Confidentiality Each party agrees to keep confidential any proprietary or sensitive business information the other shares during this engagement, and not to disclose it to third parties without written consent. This does not apply to information that is publicly available, that a party already knew, or that a party develops independently. It does not restrict Designer's portfolio rights under Section 9. --- ## 14. Governing law & venue This agreement is governed by the laws of the **State of Texas**, without regard to its conflict-of-laws rules. Venue for any dispute lies exclusively in **El Paso County, Texas**. Before either party files suit, both agree to attempt resolution first through good-faith discussion, and then through mediation in El Paso County. --- ## 15. Entire agreement This document is the complete agreement between the parties for Care Plan services and supersedes all prior discussions and verbal agreements. Amendments must be in writing and signed by both parties. Work approved by email under Section 7 is a valid amendment without a separate signed document. If any provision is found unenforceable, the remainder stays in effect.
